Please read these Terms carefully. By using our Services, you agree to be bound by these Terms, including the policies referenced in these Terms (such as our Privacy Policy). If you do not agree to these Terms, do not use our Services.
SC.02
// tl;dr: your footage stays yours. always. we just need permission to edit it.
You retain ownership of all Content you submit to Uncut Gems. By submitting materials, you grant Uncut Gems a limited license to use, edit, store, process, and deliver your Content solely to provide the Services. Public marketing use of your final edited deliverables (photos and/or videos, never raw media) is governed by your publicity choice described in Section 9. Final edited deliverables remain your property once all applicable fees are paid in full.

These Terms apply to all services provided by Uncut Gems, including but not limited to video editing, photo editing, culling, color correction, retouching, and related post-production services. Services are purchased on a per-project basis. As your spending grows, you automatically earn loyalty discounts through our Gem Bag rewards program.

// tl;dr: spend more, save more. automatic. no subscriptions.
Gem Bag is our automatic loyalty rewards program. Your discount tier is calculated based on your rolling 12-month spend. As your spend increases, you automatically unlock higher discount tiers (up to 40% off at Diamond level). There are no sign-ups, monthly payments, or annual commitments. Tiers are recalculated continuously. Gem Bag discounts cannot be combined with the first-order promotional discount.

// tl;dr: pay per project. prices are listed. payment due before delivery.
All orders are placed through the client portal at then-current published prices. Payment in full is required before delivery of final edited materials. All payments are due as invoiced. Late payments may incur interest at 1.5% per month (or the maximum allowed by law). We accept major credit cards and standard online payment methods. All fees are in USD.

// tl;dr: editing services already delivered are non-refundable.
Editing services already delivered or in progress are non-refundable. This applies equally to video and photo editing projects. If a project is canceled before completion, any payments applied to that project are forfeited. If we can't deliver work that meets your standards after reasonable revisions, we'll work with you to make it right.
SC.07
// tl;dr: up to three rounds included. we want you to love it.
Each editing project includes up to three (3) rounds of revisions at no additional cost. For video projects, only one (1) of these may constitute a full structural change (meaning significant reordering, restructuring, or re-envisioning of the edit). The remaining rounds are limited to standard refinements and adjustments. For photo projects, revisions are limited to retouching, color correction, or other edits consistent with the scope of the original order. Additional revisions beyond the included rounds may incur fees.

// tl;dr: your footage must be legally yours. keep your own backups.
You agree that all materials you submit, whether video footage, photographs, or other media, are legally owned or licensed by you and do not infringe any third-party rights. You may not provide illegal, defamatory, infringing, or harmful content. You are responsible for maintaining your own backups of submitted media.

// tl;dr: we never use your work without asking. you choose: yes, no, or maybe.
Uncut Gems treats your raw footage, raw images, and deliverables as confidential. When you create your account, you select a publicity preference: "Yes" (we may showcase your final edits in marketing), "No" (we won't share your work publicly), or "Maybe" (we'll ask permission per project). You may update your choice at any time. Changes are prospective only. We will never publicly share raw media under any circumstances.
SC.10
// tl;dr: we're not liable for more than what you paid for the specific project.
Uncut Gems provides editing services only and does not create or capture original footage. You are solely responsible for maintaining backup copies of all raw materials. Services are provided "as is" without warranty of fitness for a particular purpose. To the fullest extent permitted by law, Uncut Gems' total liability for any claim shall be limited to the lesser of: (a) the amount you paid for the specific project giving rise to the claim, or (b) the fees you paid in the three (3) months immediately preceding the claim.
SC.11
// tl;dr: you're responsible for the content you submit to us.
You agree to indemnify and hold harmless Uncut Gems, its employees, officers, and contractors from any claims, damages, or expenses (including attorney fees) arising from your breach of these Terms, your submitted content, or your misuse of our Services.
SC.12
// tl;dr: we can suspend services if terms are breached.
Uncut Gems may suspend or terminate Services immediately if you breach these Terms or fail to pay. Termination does not relieve you of obligations for fees already incurred.
SC.13
// tl;dr: maryland law applies. disputes resolved in maryland courts.
These Terms are governed by the laws of the State of Maryland. Any disputes will be resolved exclusively in the courts located in Maryland, unless both parties agree in writing to arbitration.

// tl;dr: we're not liable for things outside our control.
Uncut Gems is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, power outages, strikes, internet disruptions, or acts of government.
