The customer acknowledges that it is the owner or lawful licensee of the materials supplied.

Please read these Terms carefully. By using our Services, you agree to be bound by these Terms, including the policies referenced in these Terms (such as our Privacy Policy). If you do not agree to these Terms, do not use our Services.

You retain ownership of all Content you submit to Uncut Gems. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Uncut Gems to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all Content to enable inclusion and use of the Content in the manner contemplated by Uncut Gems and these Terms.

By submitting materials, you grant Uncut Gems a limited license to use, edit, store, process, and deliver your Content solely to provide the Services. Public marketing use of your final edited deliverables (photos and/or videos, never raw media) is governed by your publicity choice described in Section 10. Final edited deliverables remain your property once all applicable fees are paid in full.

These Terms apply to all services provided by Uncut Gems, including but not limited to video editing, photo editing, and membership programs such as the Carat Club. Services may be purchased either on a pay-as-you-go basis or through Carat Club membership.

Carat Club Membership is a twelve (12) month contractual commitment. By enrolling, you agree to pay the applicable monthly membership fee for the full twelve-month term. Memberships cannot be canceled early under any circumstances. Carats (credits) are provided upfront for the year based on your selected tier.

Each Carat has a base value of $12.50. The Carat Club provides discounted Carat rates depending on your chosen tier, as outlined below:

• Quartz: $425/month, 480 Carats annually. Each Carat is valued at $10.63 (15% off base rate).
• Amber: $800/month, 960 Carats annually. Each Carat is valued at $10.00 (20% off base rate).
• Sapphire: $1,125/month, 1,440 Carats annually. Each Carat is valued at $9.38 (25% off base rate).
• Emerald: $2,100/month, 2,880 Carats annually. Each Carat is valued at $8.75 (30% off base rate).
• Ruby: $3,900/month, 5,760 Carats annually. Each Carat is valued at $8.13 (35% off base rate).
• Diamond: $7,200/month, 11,520 Carats annually. Each Carat is valued at $7.50 (40% off base rate).

If you exhaust your Carats before the end of your term, you may purchase additional Carats at the same discounted rate as your membership tier. Unused Carats roll over into the next term as long as client renews the subscription. If the subscription is not renewed by the renewal date, all unused carats will be forfeited and have no cash value outside of the Services provided by Uncut Gems.

Failure to complete your twelve-month payment obligation while having already used Carats is a material breach of this agreement and may subject you to collection proceedings for the outstanding balance, as Carats represent prepaid services delivered at a discounted rate.

Clients who are not Carat Club members may purchase editing services on a pay-as-you-go basis at fixed, published prices for each service type (e.g., 3-5 min narrative highlight, documentary edit, photo retouching, etc). The applicable price is the then-current price listed at the time you place the order (or as quoted in writing by Uncut Gems). Membership discounts do not apply to pay-as-you-go purchases. Payment in full is required before delivery of final edited materials.

All payments are due as invoiced. Late payments may incur interest at 1.5% per month (or the maximum allowed by law). Failure to pay may result in suspension or termination of Services. Services will not be delivered until payment has been received in full or Carats have been applied.

All membership fees are non-refundable. Editing services already delivered or in progress are also non-refundable. This applies equally to video and photo editing projects. If a project is canceled before completion, any Carats or payments applied to that project are forfeited.

Each editing project includes up to three (3) rounds of revisions at no additional cost. For video projects, only one (1) of these may constitute a full structural change (meaning significant reordering, restructuring, or re-envisioning of the edit). The remaining rounds are limited to standard refinements and adjustments. For photo projects, revisions are limited to retouching, color correction, or other edits consistent with the scope of the original order. Any revisions beyond the three included rounds, or additional full structural changes (for video) or retouching requests (for photo), will be billed in Carats (for members) or at the standard rate (for pay-as-you-go clients).

You agree that all materials you submit, whether video footage, photographs, or other media, are legally owned or licensed by you and do not infringe any third-party rights. You may not provide illegal, defamatory, infringing, or harmful content. You are responsible for maintaining your own backups of submitted media.

Confidentiality (default for service delivery): Uncut Gems treats your raw footage, raw images, and deliverables as confidential and will only use or disclose them as necessary to provide the Services or as required by law.

Publicity Choice at Signup: When you create your account, you must select one of the following options regarding Uncut Gems’ ability to publicly showcase your final edited deliverables (photos and/or videos, never raw media):

• Yes: You grant Uncut Gems a non-exclusive, worldwide, royalty-free license to display, reproduce, and publicly perform your final edits (not raw media) on our website, social media, reels/portfolios, marketing emails, and sales materials. This license includes the right to host and distribute via third-party platforms used for such purposes.
• No: Uncut Gems will not publicly share your final edits. Your materials will be used only for service delivery and internal operational purposes.
• Maybe: Uncut Gems will seek your written approval on a per-project basis before any public use. No public use will occur without your affirmative written approval for that specific project.

Changing Your Choice: You may update your publicity choice at any time in your account or by written notice to us. Changes are prospective only and do not require removal of materials previously published in accordance with an earlier “Yes” or approved “Maybe,” though Uncut Gems will make reasonable efforts to honor takedown requests where feasible.

Uncut Gems provides editing services only and does not create or capture original footage or photographs. You acknowledge and agree that:

• You are solely responsible for maintaining backup copies of all raw video and photo materials. Uncut Gems is not liable for any loss, corruption, or damage to media files supplied by you.
• Services are provided “as is” without any warranty of fitness for a particular purpose, merchantability, or results. No guarantee is made as to artistic outcome or commercial success of any edit.
• Uncut Gems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities.
• To the fullest extent permitted by law, Uncut Gems’ total liability for any claim related to the Services shall be limited to the lesser of: (a) the amount you paid for the specific project giving rise to the claim, or (b) the fees you paid in the three (3) months immediately preceding the claim.

You agree to indemnify and hold harmless Uncut Gems, its employees, officers, and contractors from any claims, damages, or expenses (including attorney fees) arising from your breach of these Terms, your submitted content, or your misuse of our Services.

Uncut Gems may suspend or terminate Services immediately if you breach these Terms or fail to pay. Termination does not relieve you of obligations for fees already incurred. For Carat Club members, early termination does not release you from the twelve-month payment obligation.

These Terms are governed by the laws of the State of Maryland. Any disputes will be resolved exclusively in the courts located in Maryland, unless both parties agree in writing to arbitration.

Uncut Gems is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, power outages, strikes, internet disruptions, or acts of government.

Our Services may include links to or integrations with third-party platforms. We are not responsible for the availability, accuracy, or practices of third-party services.
